Welcome to andreamerrill.co. These Terms and Conditions ("Terms") govern your use of this website and any related properties we operate, including storymining.co, mineamoment.com, proximityblindnessdiagnostic.com, and applausegapaudit.com (collectively, the "Site"), and any purchase you make through it.
By using the Site or purchasing from us, you agree to these Terms. If you do not agree, please do not use the Site.
1. Who We Are

We are a boutique speaker messaging and marketing firm. We provide keynote writing, story development, speaker positioning, speaker application support, brand and marketing services, live workshops, and digital courses to business professionals.
2. Eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Site or purchase our services.
3. Our Services
Services are described on the Site and delivered virtually unless otherwise agreed in writing. All prices are in United States Dollars (USD).
Services governed by a separate agreement. Client engagements including intensives, retainers, keynote development, and done-with-you services are governed by a signed client services agreement. Where that agreement and these Terms conflict, the signed agreement controls for that engagement.
Not a speaker bureau. We do not source, broker, or secure paid speaking opportunities. We prepare you and your materials. Booking is yours to pursue.
No guaranteed outcomes. We provide professional services, not results. We do not guarantee speaking bookings, event acceptance, revenue, audience response, media coverage, or any specific business outcome. Any examples, case studies, or client results shown on the Site reflect those clients' individual circumstances and are not a promise of what you will achieve.
4. Payment
Fees and payment schedules are stated at checkout, in your invoice, or in your signed agreement. Payment is processed by Stripe. By purchasing, you authorize us to charge the payment method you provide for the full amount due, including any scheduled installments.
If a payment fails or is not made when due, we may pause work until the account is current. Balances more than [30] days past due may be subject to a late fee of 10% per month and may be referred for collection.
5. Refunds and Cancellations
All fees are non-refundable. Cancellation, rescheduling, and transfer terms are set out in full in our Refund and Cancellation Policy at andreamerrill.co/privacy-policy, which is incorporated into these Terms by reference.
6. Chargebacks
If you have a concern about a purchase, contact us at andrea@theandreamerrill.com before disputing the charge with your bank or card issuer. We will work with you in good faith. Filing a chargeback without first contacting us is a breach of these Terms and may result in immediate suspension of services and recovery of the disputed amount plus any fees incurred.
7. Intellectual Property
Our materials. All content on the Site and all materials, frameworks, methods, templates, worksheets, recordings, and course content we provide are owned by Andrea Merrill Co. and protected by copyright and other intellectual property laws.
This includes our proprietary methodologies and the names we use for them, including Story Mining, Proximity Blindness, the Applause Gap, Three-Brain Sequencing, and the Psychology Driven Speaker Protocol. These names and methods remain our property in all circumstances.
You receive a limited, non-exclusive, non-transferable license to use materials we deliver for your own personal or internal business use. You may not copy, resell, license, teach, publish, or distribute our materials or methods, or present them as your own, without our written permission.
Your materials. You retain ownership of the personal stories, business information, and background materials you share with us. You keep ownership of the final talk, script, or copy we write for you, once payment is complete.
What we keep. Nothing in a client engagement transfers ownership of our underlying frameworks, processes, or methods to you. We remain free to use our general knowledge, skill, and experience.
8. Confidentiality
We treat the information clients share with us as confidential and use it only to deliver the services engaged. Our team members and contractors are bound by confidentiality obligations. This does not apply to information that is already public, that you make public, or that we are required to disclose by law.
9. Marketing and Promotional Rights
Unless you tell us otherwise in writing before the engagement begins, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use your name, business name, likeness, logo, testimonial, and a general description of the work performed in our marketing materials, website, social media, case studies, and portfolio.
We will not disclose confidential business details or personal information you have asked us to keep private.
You may request removal from active marketing at any time by emailing andrea@theandreamerrill.com. We will honor the request going forward, though we are not obligated to recall materials already published or distributed.
10. Client Responsibilities
Delivering good work requires your participation. You agree to:
Attend scheduled sessions and give reasonable notice if you cannot
Provide requested information, materials, and feedback within agreed timeframes
Respond to communications in a timely way
Provide accurate information about yourself and your business
If materials or feedback are delayed by more than [14] days, timelines shift accordingly and we may reschedule your work into the next available window.
11. Communication and Scheduling
Our business hours are [DAYS AND HOURS] Mountain Standard Time. We respond to client communications within [X] business days. Sessions are scheduled through our booking system and confirmed by email.
12. Recording
Client sessions may be recorded and transcribed to support delivery of your services. You will be notified before recording begins and may decline. Recordings are handled according to our Privacy Policy.
13. Acceptable Use
You agree not to use the Site to violate any law, infringe anyone's rights, transmit harmful code, scrape or harvest data, attempt unauthorized access, or interfere with the Site's operation.
14. Third-Party Links and Tools
The Site may link to or rely on third-party websites and platforms. We do not control them and are not responsible for their content, availability, or practices. Your use of those services is governed by their own terms.
15. Disclaimer
The Site and all content are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error free.
Content on the Site is for informational purposes and is not legal, financial, medical, or professional advice.
16. Limitation of Liability
To the maximum extent permitted by law, Andrea Merrill Co. and its owners, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business opportunity, or lost data, arising from your use of the Site or our services.
Our total liability for any claim relating to the Site or our services will not exceed the amount you paid us in the [3] months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
17. Indemnification
You agree to indemnify and hold harmless Andrea Merrill Co. and its owners, employees, and contractors from any claim, loss, liability, or expense, including reasonable attorney fees, arising from your use of the Site, your breach of these Terms, or your use of materials we deliver.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.
Before filing any formal action, both parties agree to attempt resolution through direct good faith discussion for at least [30] days. If that does not resolve the matter, any dispute will be brought in the state or federal courts located in Pinal County, Arizona, and both parties consent to that jurisdiction.
The prevailing party in any dispute is entitled to recover reasonable attorney fees and costs.
19. Severability and Waiver
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.
20. Changes to These Terms
We may update these Terms at any time. The revised version will be posted here with a new effective date. Continued use of the Site after changes means you accept them. Changes do not alter the terms of a signed agreement already in effect.
21. Entire Agreement
These Terms, together with our Privacy Policy and Refund and Cancellation Policy, are the entire agreement between you and Andrea Merrill Co. regarding the Site and any purchase made through it, except where a signed client services agreement applies.
